You acknowledge and agree that the following Terms of Service, including the Privacy Policy posted on this Site, shall govern your use of each and every page of this Site and the provision of both free and subscription-only information to you by or through this Site. Your user agreement with LitigationBids.com will consist of these Terms of Service (including the Privacy Policy); any applicable click-through agreement; and, if you are a subscriber, the pricing, subscription features, and other terms contained on the LitigationBids.com subscription Signup pages of this Site applicable to the subscription you have chosen but are subject to change at any time.

By accessing and using this Site you are agreeing to comply with and be bound by these Terms of Service. If you do not agree to these Terms of Service, you may not access or use this Site.

These Terms and Conditions of Service May Change

We reserve the right to update or modify these Terms and Conditions of Service at any time, without prior notice, by posting the revised version of these Terms and Conditions of Service behind the link marked “Terms and Conditions of Service” at the bottom of each page of this Site. These changes will be effective as of the date we post the revised version on this Site, except that changes to subscription fees and features will become effective as to any existing subscriber upon completion of its then-current subscription term. Your continued use of this Site after we have posted the revised Terms and Conditions of Service constitutes your agreement to be bound by the revised Terms and Conditions of Service. Your only right with respect to any dissatisfaction with any revisions to the Terms and Conditions of Service is to cancel your subscription to this Site and discontinue your use of this Site.

For your convenience, whenever these Terms and Conditions of Service are changed, we will alert you by posting a notice on our homepage for sixty days. We will also update the “effective date” at the top of this page. If more than sixty days goes by between your visits to this Site, be sure you check the effective date to see if these Terms and Conditions of Service have been revised since your last visit.

Your Acceptance of Our Privacy Policy

By agreeing to these Terms and Conditions of Service, you agree to the terms of our Privacy Policy, which is expressly incorporated herein. Before using this Site, please carefully review our Privacy Policy.  All personal data provided to us as a result of your use of this Site will be handled in accordance with our Privacy Policy.  

Further, if you are a legal support services provider subscribing to the Site, you explicitly and unequivocally agree to keep all information received from any attorney, legal personnel or law firm confidential as required by law.  If you are an attorney, other legal professional or law firm subscribing to the Site, you agree to keep any confidential or proprietary information received from a legal support service provider confidential and agree to not disclose the information unless obligated or authorized to do so by law.

Your Consent to Other LitigationBids.com Agreements

We may also require you to follow additional rules, guidelines or other conditions to sign up to use various special features or password-protected areas of this Site, to participate in certain promotions or activities available through this Site, or for other reasons.  In such cases, you may be asked to expressly consent to these additional terms, for example, by checking a box or clicking on a button marked “I agree.”  This type of agreement is known as a “click-through” agreement. If any of the terms of a click-through agreement are different than the terms of these Terms and Conditions of Service, the terms of the click-through agreement will supplement or amend these Terms and Conditions of Service, but only with respect to the matters governed by the “click-through agreement.”

Subscription Term, Fees and Charges

LitigationBids.com accepts payment for subscription fees by credit or debit card only. Due to the recurring nature of our subscriptions and the risks associated with pre-paid credit cards, we reserve the right to refuse them at any time. You must provide LitigationBids.com with current, valid credit or debit card account information at the time that you first subscribe to this Site. LitigationBids.com will then bill your credit or debit card the total due for your initial payment, and then if you have chosen a month-to-month or monthly installment payment subscription plan, bill your credit or debit card monthly thereafter for your monthly payments/installments. The available subscription plans and their terms, billing frequency and renewal/upgrade requirements are summarized as follows:

Unless your subscription is terminated by you or LitigationBids.com as provided elsewhere in these Terms and Conditions of Service, you agree to pay and authorize LitigationBids.com to charge the credit or debit card you provided in the amount of the then-current subscription fee (or an installment portion thereof, as applicable) for the subscription term you have chosen in accordance with the schedule provided above. The current subscription fees for the various subscription plans may be found on the LitigationBids.com Subscription Signup page of this Site.

If any payment instrument you tender is dishonored or returned unpaid for any reason (including a credit card chargeback) by a financial institution, we will be entitled to collect from you a fee of $25 or such larger amount as may be permitted by applicable law.

If your account with LitigationBids.com is past due, your subscription and use of this Site is subject to interruption or termination as provided below, and LitigationBids.com may avail itself of all available collection remedies. You agree to reimburse us for fees of any collection agency we utilize, which may be based on a percentage of the debt, and for all costs and expenses, including reasonable attorneys’ fees, we incur in such collection efforts.

If you are a current subscriber, you will maintain your current features, benefits, and pricing. Any changes made to the account or current subscription will forfeit your right to the previous pricing model and will activate the current pricing structure based on number of states, daily page views, additional features and benefits. LitigationBids.com reserves the right to move any existing subscriber to the current pricing model if it is determined that an increase in usage warrants that move.

Subscribing to this Site

You may subscribe to this Site either online or by submitting an application in paper form. If you submit an application in paper form, it must be signed and it will be deemed to incorporate any supporting documents and disclaimers on this Site that apply to online applications. If there is any conflict or inconsistency in terms between any online document and a subsequently submitted signed document, the conflict shall be resolved by relying on the document that is actually signed. Subscription applications submitted online are considered “pending acceptance and approval” and are not complete until a confirmation of approval and acceptance has been sent by LitigationBids.com. In the event an application cannot be accepted, any payment made shall be refunded or credited to the credit card account within a reasonable time period.

Termination and Non-Renewal

If you wish to terminate or not renew your subscription to this Site, you may do so at any time by canceling your account on the Site.  LitigationBids.com does not accept notices of termination or non-renewal by e-mail or any other means, regardless of whether such notice is actually received by LitigationBids.com.  LitigationBids.com will provide an e-mail confirmation of your termination or non-renewal to the address you designated when subscribing.

Any notice of non-renewal will be effective at the end of your then-current subscription term. Any notice of termination will also be effective at the end of your then-current subscription term unless, in connection with one- or two-year subscription plans involving monthly installment payments, you indicate that you wish to make the cancellation effective immediately. In that case, immediate cancellation will be conditioned upon payment of an early termination fee equal to one-half of the unpaid portion of the total subscription fee for the then-current subscription term. For example, if you have a one-year subscription the fee for which is payable in monthly installments and you notify us that you wish to cancel during month six of your one-year subscription, your subscription will remain active until the end of the one-year term unless you indicate you wish the cancellation to be effective immediately and pay an early termination fee equal to three monthly installments. LitigationBids.com will not issue prorated refunds of subscription fees already paid.

If you undertake any action or fail to take any action in breach or contravention of these Terms and Conditions of Service, including failure to make any required payment when due, LitigationBids.com may immediately and without notice terminate your subscription and/or block or prevent your access to and use of this Site.

Text Message

Disclosures. By agreeing to the Terms of Service and providing your cell phone number upon sign up, you agree to receive text offers and alerts from LitigationBids.com.  Text message charges or other charges may be applied by your wireless carrier for these offers and alerts.  If, at anytime, you wish to opt out of future mobile (text) messages from LitigationBids.com, you may do so by replying “STOP” to any text message you receive from LitigationBids.com. You agree to opt out before changing your wireless service.

Ownership of this Site and its Content

This Site, including all of the software and code comprising or used to operate this Site, and all of the text, photographs, images, illustrations, graphics, sound recordings, video and audio-video clips, and other materials available on this Site, including without limitation content submitted by users of this Site (collectively “Content”) are protected under applicable intellectual property and other laws, including without limitation the laws of the United States and other countries. All Content and intellectual property rights therein are the property of LitigationBids.com or the material is included with the permission of the rights owner and is protected pursuant to applicable copyright, trademark, and trade secret laws. All rights not expressly granted by this Agreement are reserved solely to LitigationBids.com, its vendors and/or licensors.

The presence of any Content on this Site does not constitute a waiver of any right in such Content. You do not acquire ownership rights to any such Content viewed through this Site. Except as otherwise provided herein, none of this Content may be used, copied, reproduced, distributed, republished, downloaded, modified, displayed, posted or transmitted in any form or by any means, including, but not limited to, electronic, mechanical, photocopying, recording, or otherwise, without our express prior written permission. Any unauthorized use by you may subject you to penalties or damages. LitigationBids.com will enforce its intellectual property rights to the full extent of the law.

You may not use this Site for any purpose that is prohibited by any law or regulation, or to facilitate the violation of any law or regulation. You may not use this Site or any of its Content to compete in any manner with LitigationBids.com, nor may you resell or redistribute this Site’s content without prior express written consent of management of LitigationBids.com. You may not attempt to use any “deep-link,” “scraper,” “robot,” “bot,” “spider,” “data mining,” “computer code” or any other automated device, program, tool, algorithm, process or methodology or manual process having similar processes or functionality, to access, acquire, copy, or monitor any portion of this Site or any data or Content found on or accessed through this Site without prior express written consent of management of LitigationBids.com. You may not use this Site to obtain or attempt to obtain through any means any materials or information on this Site that has not been intentionally made publicly available either by public display on this Site or through accessibility by a visible link on this Site. You may not use this Site in a manner that would violate the security of this Site or attempt to gain unauthorized access to this Site, data, materials, information, computer systems or networks connected to any server associated with this Site through hacking, password mining or any other means.

In consideration of your use of this Site, you agree to provide true, accurate, current and complete information about yourself and to update that information as necessary. You may not impersonate any person or entity, or falsely state or otherwise represent an affiliation with a person or entity.

You agree not to upload or transmit through this Site any computer viruses, trojan horses, worms or anything else designed to interfere with, interrupt or disrupt the normal operating procedures of a computer. You may not interfere with, attempt to interfere with or otherwise disrupt the proper working of this Site, any activities conducted on or through this Site or any servers or networks connected to this Site, including accessing any data, content or other information prior to the time that it is intended to be available to the public on this Site. LitigationBids.com reserves the right to limit the number of projects, contacts and companies that can be viewed during any given time period. LitigationBids.com also reserves the right to validate business authenticity as needed or required to support proper use of the Website.

Permission is hereby granted to the extent necessary to lawfully access and use this Site and to display, download, or print portions of this Site on a temporary basis and for your personal and educational use only, provided that you (i) do not modify the Content; (ii) you retain any and all copyright and other proprietary notices contained in the Content; (iii) you do not copy or post the Content on any network computer or broadcast the Content in any media; and (iv) you do not use the Content to compete with LitigationBids.com.

Responsibility for User Generated Content Posted on or Through this Site

In these Terms and Conditions of Service, “User Generated Content” refers to all of the text, photographs, images, illustrations, graphics, sounds, video, audio-video clips, and other content you post on or through this Site using the social networking tools we make available to Site members. Examples of User Generated Content include user-submitted project descriptions and information in subscribers’ profiles.

You are responsible for User Generated Content you post on or through this Site. You are solely responsible for the User Generated Content that you post on or through this Site. Under no circumstances will we be liable in any way for any User Generated Content posted on or through this Site. Such User Generated Content may be posted on or accessed through this Site in our sole discretion.

This means that you (and under all circumstances not LitigationBids.com) are entirely responsible for all User Generated Content that you upload, post, transmit or otherwise make available to others on or through this Site and that you can be held personally liable for comments that are defamatory, obscene, or libelous, or that violate these Terms and Conditions of Service, an obligation of confidentiality, or the rights of others. If any part of the User Generated Content you submit is not your original work, it is your responsibility to obtain any necessary permissions before you post that User Generated Content on or through this Site.

Because we do not control the User Generated Content posted on or through this Site, we cannot and do not warrant or guarantee the truthfulness, integrity, suitability, or quality of that User Generated Content. You also agree and understand that by accessing this Site, you may encounter User Generated Content that you may consider to be objectionable. We have no responsibility for any User Generated Content, including without limitation any errors or omissions therein. We are not liable for any loss or damage of any kind you claim was incurred as a result of the use of any User Generated Content posted, e-mailed, transmitted or otherwise made available on or through this Site. We may disclose and/or remove User Generated Content. LitigationBids.com reserves certain rights. We reserve the right (but do not have the obligation) to monitor all User Generated Content. We reserve the right to require that you avoid certain subjects, if we believe that doing so will help ensure compliance with applicable laws. We reserve the right (but do not assume the obligation) to remove or block any User Generated Content at any time without notice at our sole and absolute discretion. We reserve the right to disclose any User Generated Content and the identity of the user who posted or transmitted that User Generated Content in response to a subpoena or whenever we believe that disclosure is appropriate to comply with the law or a court order, to prevent or investigate a possible crime or other violation of law, to protect the rights of LitigationBids.com or others, or to enforce these Terms and Conditions of Service. In addition, we reserve the right (but do not assume the obligation) to terminate your access to and use of this Site, or to censor, edit or block your transmissions thereto in our sole discretion. You agree that our exercise of such discretion shall not render us the owners of the User Generated Content, and the user who made such User Generated Content available on or through this Site will retain ownership thereof as described above.

Restrictions on User Generated Content. It is a condition of these Terms and Conditions of Service that you do not:

  • upload, post, transmit or otherwise make available
  • any User Generated Content that is unlawful, harmful, hateful, threatening, abusive, harassing, libelous, defamatory, obscene, vulgar, pornographic, profane, racially disparaging, indecent, or invasive of another’s privacy;

  • any request for or solicitation of money, goods, or services for private gain;
  • any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; or
  • any User Generated Content that contains advertising, promotions or marketing, or which otherwise has a commercial purpose inconsistent with the purposes of this Site;
  • impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity; or
  • violate any local, state, national or international law, rule or regulation.

By posting User Generated Content on or through this Site, you represent and warrant that (i) you own or otherwise control all of the rights to the User Generated Content you post and have the right to grant the license set forth in these Terms and Conditions of Service; (ii) the User Generated Content you post is accurate, and (iii) you are at least eighteen years old and you have read and understood – and your User Generated Content fully complies with – these Terms and Conditions of Service and applicable laws and will not cause injury to any person or entity.

Remember, you are legally responsible for your User Generated Content. You can be held personally liable if your User Generated Content is defamatory, obscene, or libelous, violates an obligation of confidentiality, or violates the rights of others. You are also legally responsible for any User Generated Content submitted by anyone logging onto this Site using your username and password, including those doing so without your authorization.

Your Feedback

In these Terms and Conditions of Service, “Feedback” refers to the content you post on or through this Site, other than User Generated Content, that is specifically about how we can improve this Site and the products and services we make available through this Site.  Although we do not claim ownership of User Generated Content you post on or through this Site, the Feedback you provide to us through this Site will be and remain our exclusive property.  Your submission of Feedback will constitute an assignment to us of all worldwide rights, title and interests in your Feedback, including all copyrights and other intellectual property rights in your Feedback.  We will be entitled to reduce to practice, exploit, make, use, copy, disclose, display or perform publicly, distribute, improve and modify any Feedback you submit for any purpose whatsoever, without restriction and without compensating you in any way. Removal of Content

In general, you can report objectionable content on this Site by e-mailing us at Content@litigationbids.com. While we do not have any obligation to remove content from this Site merely because of a removal request, we will review all such requests and will remove content that we determine should be removed, in our sole discretion and in accordance with our Terms and Conditions of Service and applicable law.  Please be aware, however, that if the content has already been distributed to other Web sites or published in other media, we will not be able to recapture and delete it. Also, a back-up or residual copy of the content we remove from this Site may remain on back-up servers.

Violation of copyrights. LitigationBids.com does not knowingly violate or permit others to violate the copyrights of others. We will promptly remove or disable access to material that we know is infringing or if we become aware of circumstances from which infringing activity is apparent.

If you are requesting removal of Content because of a violation of your copyrights, please note that the Digital Millennium Copyright Act of 1998 (the “DMCA”) provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under U.S. copyright law. The LitigationBids.com names and logos, all product and service names, all page headers, all custom graphics, all button icons, and all trademarks, service marks and logos appearing on this Site, unless otherwise noted, are trademarks (whether registered or not), service marks and/or trade dress of LitigationBids.com (the “LitigationBids.com Marks”).  All other trademarks, product names, company names, logos, service marks and/or trade dress mentioned, displayed, cited or otherwise indicated on this Site are the property of their respective owners. You are not authorized to display or use the LitigationBids.com Marks in any manner without our prior written permission. You are not authorized to display or use trademarks, product names, company names, logos, service marks and/or trade dress of other owners featured on this Site without the prior written permission of such owners. Sharing of Log-in Information Policy

Your subscription, including your username and password, are personal to you and may not be used by anyone else, except for others closely associated with you and your business. Any sharing of your account information, login, passwords, or the information, content and data provided by this Site, with any other person, firm or entity is done at your own risk. Accordingly, you are responsible for maintaining the confidentiality of your password and username. You are also responsible for every instance in which your account information, login, passwords, or the information, content and data provided by this Site is used by someone other than you, whether or not authorized by you.  Access to this Site through the use of a specific user name and password will be terminated if there is an attempt to establish concurrent access to this Site using the same user name and password.

You agree to change your password immediately if you believe your password may have been compromised or used without authorization. You also agree to immediately inform us of any apparent breaches of security such as loss, theft or unauthorized disclosure or use of your username or password by e-mailing us at passwordbreach@litigationbids.com. Until we are so notified you will remain liable for any unauthorized use of your account.

CONFLICT OF INTEREST

If you are a company providing legal support services, you hereby agree to vet and ensure that all potential leads with legal work from attorneys, legal personnel or law firms subscribing to this Site do not conflict with any other work that you may have.  If you are an attorney, legal professional, or law firm subscribing to this Site, you agree to keep any proprietary information that you obtain from any legal support service provider that you contact through the Site confidential and agree not to disclose any such information in violation of the provider’s rights unless required or authorized to do so by law.

DISCLAIMERS

WE MAKE NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THIS SITE OR ITS CONTENT, OR ANY PRODUCT OR SERVICE AVAILABLE ON OR PROMOTED THROUGH THIS SITE.
